Warranties
Standards. Provider represents and warrants that all of the Services will be performed in a professional and workmanlike manner, conforming to generally acceptable standards of the data security consulting industry.
Limitations of Warranty. Provider makes no express warranties other than those specifically stated in this Agreement. Provider makes no warranty as to the results or performance that may or may not be obtained by Client in using the Services, in using recommendations provided as part of Services, and/or in using Materials as set forth in this Agreement. As such, Provider does not warrant or guarantee that its Services if applicable will ultimately obtain a particular level of certification under assessment for the Cybersecurity Maturity Model Certification (CMMC) or other such certifications. Provider does not and cannot warrant that (i) Client will not be hacked or will not have its security compromised during or after delivery of the Services, or (ii) its Services will detect every Client vulnerability or weakness or that the results of Services or deliverables will be error-free or totally accurate. Provider specifically disclaims all other warranties express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. In no event shall Provider be liable for any incidental, special, or consequential damages arising in connection with this Agreement, including, but not limited to, lost profits, loss of or interference with business, or loss or damage to data arising out of the use, partial use, or inability to use the Materials or results of the Services, whether in an action in tort, strict, liability, or negligence, even if advised of the possibility of such damage. Provider’s warranty for any third-party software or hardware provided to Client under this Agreement shall be solely limited to any warranty provided for such third-party software or hardware by the licensor or original equipment manufacturer that Provider agrees to assign without modification to Client, to the extent Provider is allowed to legally and contractually transfer such warranty to Client.
